1. Acceptance of Terms
By accessing or using Show Me Bids ("the Platform") at showmebids.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
2. Description of Service
Show Me Bids is a reverse-auction automotive marketplace that connects car buyers with Nashville-area dealerships. Buyers select vehicles they are interested in, and participating dealers compete by submitting their best Out-The-Door (OTD) price. The Platform facilitates price transparency and does not sell vehicles directly.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By creating an account, you represent that you meet these requirements.
4. User Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate and current information during registration.
- You are responsible for all activity that occurs under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Assurance Fee & Payments
- A $25 assurance fee is required per duel to verify buyer seriousness and is non-refundable except as described below.
- If the dealership refuses to honor your winning pre-F&I bid, you are entitled to a full refund of the assurance fee.
- All payments are processed securely through Stripe. We never store your full credit card information.
6. Duel Rules
- Each duel has a fixed time window during which dealers may submit bids.
- Bids are itemized Out-The-Door prices including sale price, doc fees, market adjustments, and registration/title fees.
- Claiming a winning bid constitutes your intent to purchase the vehicle at the quoted price. This is not a legally binding purchase contract but a good-faith commitment.
- Show Me Bids does not guarantee vehicle availability, condition, or final transaction terms between you and the dealership.
7. Dealer Participation
- Dealers must register and be approved before participating in duels.
- Dealers agree to honor the OTD price submitted in their bids, subject to standard dealer disclaimers (e.g., vehicle availability, prior sale).
- Dealers may not contact buyers outside the Platform for vehicles discovered through Show Me Bids duels.
8. SMS Communications
By using Show Me Bids, you consent to receive transactional SMS messages related to your active duels, including bid notifications and status updates. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of SMS at any time. Reply HELP for assistance. We will never send unsolicited marketing messages via SMS.
9. Prohibited Conduct
You agree not to:
- Create fake accounts or duels with no intent to purchase.
- Manipulate the bidding process or collude with dealers.
- Scrape, crawl, or harvest data from the Platform.
- Interfere with or disrupt the Platform's operation.
- Use the Platform for any illegal or unauthorized purpose.
10. Intellectual Property
All content, features, and functionality of the Platform — including text, graphics, logos, and software — are owned by Show Me Bids and protected by applicable intellectual property laws.
11. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that dealer bids will be honored, that vehicles will be available, or that the Platform will be uninterrupted or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Show Me Bids and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or the inability to complete a vehicle purchase.
13. Indemnification
You agree to indemnify and hold harmless Show Me Bids, its officers, directors, employees, and agents from any claims, losses, or damages (including attorney's fees) arising from your use of the Platform or violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Davidson County, Tennessee.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform. Continued use after changes constitutes acceptance of the updated Terms.
